TERMS OF SERVICE – CALENDARFLOW

These Terms of Service (“Terms”) govern your access to and use of the CalendarFlow website and services located at https://calendarflow.dev (“CalendarFlow”, “we”, “us”, or “our”). By accessing or using CalendarFlow, you agree to be bound by these Terms. If you do not agree to these Terms, do not use CalendarFlow.

1. Service Description

CalendarFlow provides a live voice agent that connects to and edits your Google Calendar in real time (“Service”). To use the Service, you may be required to sign in with your Google account and grant CalendarFlow access to your Google Calendar data.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract under applicable law to use CalendarFlow. By using the Service, you represent and warrant that you meet these requirements.

3. Accounts and Access

To use CalendarFlow, you may be required to create an account or sign in using a third-party login (such as Google). You agree to:
a) Provide accurate and complete information when creating your account.
b) Maintain the security of your login credentials.
c) Notify us promptly of any unauthorized use of your account.

You are responsible for all activities that occur under your account.

4. Free and Paid Use

When you sign up for a free account, you may access the voice agent and related features offered at that time. We reserve the right to introduce, modify, or remove free or paid tiers at any time, including:
a) Requiring payment to continue using the Service.
b) Limiting or changing features available on free or paid plans.
c) Offering subscriptions or one-time payment options.

If we introduce fees for parts of the Service that were previously free, we will inform you in advance and give you an opportunity to continue or discontinue use of the Service.

5. Data Ownership and Use of Google Calendar

You retain ownership of the data stored in your Google Calendar. CalendarFlow does not claim ownership of your calendar events or other content stored in your Google account.

By using CalendarFlow, you grant us permission to:
a) Access, read, create, modify, and delete events and related data in your Google Calendar as necessary to provide the Service you request through the voice agent.
b) Process and temporarily store data required to operate the Service and fulfill your instructions.

You are responsible for ensuring that your use of the Service complies with applicable Google policies, including Google’s API Terms of Service and your Google account terms.

6. User Data and Privacy

We collect certain personal information, including your name, email address, and payment information, as well as non-personal data such as web cookies. Our collection, use, and disclosure of personal data are governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. Cookies and Tracking Technologies

8. Third-Party Services

CalendarFlow relies on third-party services, including but not limited to:
a) Google Calendar and other Google services.
b) Payment processors for handling payment information.

Your use of those third-party services may be subject to additional terms and policies imposed by those providers. We are not responsible for the content, actions, or policies of third-party services.

9. Acceptable Use

You agree that you will not:
a) Use the Service for any unlawful, fraudulent, or harmful purpose.
b) Interfere with or disrupt the integrity or performance of the Service.
c) Attempt to gain unauthorized access to the Service or related systems.
d) Reverse engineer, decompile, or otherwise attempt to derive the source code of any part of the Service, except where permitted by law.
e) Use the Service in a way that violates the rights of others, including privacy, intellectual property, or contractual rights.

We reserve the right to suspend or terminate your access to the Service if we reasonably believe you have violated these Terms.

10. Payments and Billing

When paid plans or features are available:
a) You agree to pay all applicable fees associated with your selected plan.
b) Fees, billing cycles, and renewal terms will be disclosed at the time of purchase.
c) Unless otherwise stated, fees are non-refundable.

All payment information is processed by third-party payment providers. We do not store your full payment card details on our servers.

11. Intellectual Property

All rights, title, and interest in and to the Service, including the website, software, design, logos, and content (excluding your own data and any third-party content) are owned by or licensed to CalendarFlow and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service solely in accordance with these Terms.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any part of the Service except as expressly permitted by these Terms or with our prior written consent.

12. Disclaimers

The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Without limiting the foregoing, we do not warrant that:
a) The Service will be uninterrupted, secure, or error-free.
b) The Service will meet your requirements or expectations.
c) Any data or content will be accurate, reliable, or complete.

You are responsible for verifying any changes made to your calendar and for maintaining backup copies of important data.

13. Limitation of Liability

To the fullest extent permitted by law, in no event will CalendarFlow, its owners, employees, contractors, or affiliates be liable for any:
a) Indirect, incidental, special, consequential, or punitive damages; or
b) Loss of profits, revenue, data, goodwill, or other intangible losses,
arising out of or in connection with your use of, or inability to use, the Service, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages.

To the extent any liability exists, our total cumulative liability arising out of or relating to the Service will not exceed the greater of:
a) The total amount you have paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim, or
b) One hundred U.S. dollars (USD $100).

Some jurisdictions do not allow limitations on certain damages, so some or all of the above limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless CalendarFlow, its owners, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:
a) Your use of the Service.
b) Your violation of these Terms.
c) Your violation of any applicable law or the rights of any third party.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, if we discontinue the Service, or for any other lawful reason.

You may stop using the Service at any time. Upon termination, your right to use the Service will cease immediately. Certain provisions of these Terms that by their nature should survive termination (including, but not limited to, ownership, disclaimers, limitations of liability, and indemnification) will continue in effect.

16. Changes to These Terms

We may update or modify these Terms from time to time. When we do so, we will:
a) Update the “Last updated” date at the top of this page; and
b) Notify you by email using the address associated with your account.

Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service.

17. Governing Law

These Terms and any disputes arising out of or related to them or the Service will be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles.
